- Authorization
I, the undersigned, certify that I am the owner or an authorized representative of the business with the authority to make purchases on its behalf. I hereby authorize Online Verification Group to process payments as per the itemized authorization form, including one-time payments or recurring charges based on services selected. Additionally, I grant Online Verification Group the authority to act as my digital marketing provider, allowing them to advertise, publish, and take necessary actions on behalf of my business in fulfilling their services.
- Service Delivery
By purchasing digital marketing services, I understand that Online Verification Group primary role is to provide the labor necessary for submitting and/or managing my selected service.
I understand that after acceptance of this Agreement and successful payment, certain publications or listings may require additional verification or approval from me. If I fail to complete such post-acceptance verification steps, I acknowledge that Online Verification Group has nevertheless rendered the agreed-upon services by performing the labor required to submit and manage my listing as authorized.
- Cancellation Policy
By purchasing digital marketing services from Online Verification Group, I understand that services begin only after this Agreement is accepted and payment is successfully processed. As a courtesy, a 24-hour cancellation window is provided. I may cancel within this period for a full refund by submitting a written request to
info@onlineverificationgroup.org. I may cancel or discontinue services at any time, but after 24 hours a refund would not be applicable.
If I have selected a recurring payment option, I may cancel future charges at any time by emailing a cancellation request to info@onlineverificationgroup.org. Cancellations apply to future billing cycles, no refunds will be issued for prior charges, as those reflect services already rendered.
- Attestation
I hereby attest that I am purchasing marketing services for a legal and legitimate entity in accordance and abidance with all US applicable state and/or Federal Laws. I understand that my business’ selected publications can be denied by directories in accordance with their terms of use. I understand that if my business violates their terms, my business listing may be denied, revoked, or otherwise taken down. I agree that Online Verification Group will not be liable, and in such an event, service payment will not be refunded.
- Scope of Service
Online Verification Group offers digital marketing services focused on emphasizing customers online visibility and exposure. As the Customer, I understand and acknowledge that I am purchasing a service with the intention of publicly publishing my business information. I understand that the service or services I am purchasing are clearly itemized on my authorization form, have been properly described to me during the sales process, and are available in the Terms and Conditions as defined below;
5.1 Business Listing Service
I understand that this purchase is a one-time service and one-time payment. I am expressly permitting Online Verification Group to create, update, optimize, or correct my business listing information, including but not limited to business name, address, phone number, categories, photos, service areas, business attributes, and more. I authorize Online Verification Group to submit or modify and publish my listing information on my behalf using the details provided to them.
5.2 Directory and Citation Management Service
I understand that this purchase is either a recurring service paid monthly or I have the option to pay one-time annually, as shown, selected, and approved on my Authorization Form. I expressly permit and authorize Online Verification Group to create, modify, manage, and maintain my business’ information across all accessible directory and listing platforms. This may include but is not limited to monitoring listings, executing modification requests, fulfilling updates to business information upon expressed notice, and guidance with active listings; if and when applicable.
- Legal Disclosures
6.1 Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Except as otherwise provided in the Binding Arbitration section below. I agree that any legal action or proceeding arising under or related to this Agreement shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and I hereby consent to the personal jurisdiction and venue of such courts. I waive any objection to the venue being inconvenient or improper.
6.2 Indemnification
I agree to defend, indemnify, and hold harmless Online Verification Group, its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, expenses, or demands, including reasonable attorney’s fees, arising out of or related to:
- Any information, business listings, content, or material I provide to us for publication;
- My use or misuse of our services;
- Any alleged or actual infringement of intellectual property or violation of law resulting from the content or information we publish on your behalf;
- My violation of these Terms and Conditions.
This indemnity will survive the termination or expiration of this agreement.
6.3 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to this Agreement, your relationship with us, or any communications, marketing, interactions, or transactions between you and us – whether occurring before, during, or after your acceptance of this Agreement – shall be resolved exclusively through final and binding arbitration, administered by the American Arbitration Association (“AAA”). If the dispute involves an individual consumer, the arbitration shall be conducted under the AAA Consumer Arbitration Rules. If the dispute involves a business entity, the AAA Commercial Arbitration Rules shall apply.
The arbitration shall be conducted by a single arbitrator in Palm Beach County, Florida, unless the parties mutually agree otherwise. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
This arbitration provision applies to all claims, whether based in contract, statute, regulation, tort, or any other legal theory, including but not limited to claims arising under the Telephone Consumer Protection Act (TCPA), state consumer protection laws, and any other federal or state communications or privacy statutes.
Except as expressly provided below, arbitration shall be the exclusive forum for resolving any covered dispute. This provision does not preclude either party from seeking provisional or equitable relief in aid of arbitration or to enforce an arbitration award.
Delegation of Arbitrability
The arbitrator, and not any court, shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration provision, including any claim that all or part of this provision is void or voidable.
6.4 Class Action and Representative Action Waiver
You agree that any arbitration shall be conducted solely on an individual basis. You expressly waive the right to bring, join, or participate in any class action, collective action, private attorney general action, or other representative proceeding against us, whether in arbitration or in court.
The arbitrator shall have no authority to consolidate claims or to adjudicate claims on a class, collective, or representative basis.
If this class action waiver is found to be unenforceable as to any claim, then such claim shall be brought exclusively in a court of competent jurisdiction, and all other claims shall remain subject to arbitration.
